Spott Terms of Service

PLEASE READ THESE TERMS CAREFULLY BEFORE USING SPOTT

Welcome to Spott, the social layer for real-life meetups. By accessing or using our mobile application, website, APIs, or related services (collectively, the “Platform”), you agree to be bound by these Terms of Service (the “Terms”) and our Privacy Policy. If you do not agree to these Terms, please do not use the Platform.

1. Definitions

  • “User” means anyone accessing or using the Platform.
  • “Event” means any real-world gathering created or attended via the Platform.
  • “Host” means a User who creates or organizes an Event.
  • “Attendee” means a User who RSVPs to or joins an Event.
  • “Content” means any text, images, photos, videos, or other materials uploaded by Users.
  • “GPS-Gating” means the requirement that Users must be physically present at an Event to post.
  • “Exclusive Window” means the defined timeframe during which only Attendees may post to an Event story.
  • “Platform” refers to Spott’s mobile application, website, APIs, and related services.
  • “Boost” means any paid promotional feature that increases the visibility, reach, or prominence of an Event or other content on the Platform.
  • “Sponsor Slot” means any paid sponsored placement, featured placement, promotional inventory, or similar advertising slot offered through the Platform.
  • “Subscription” means any auto-renewing, recurring paid plan offered through the Platform, including access to the Business Marketplace.

2. Eligibility & Account Registration

You must be at least 16 years old to register an account on the Platform. By registering, you represent that you meet this minimum age requirement and that all information you provide during registration is accurate and complete.

You agree to maintain the confidentiality of your account credentials and are fully responsible for all activities that occur under your account. Notify us immediately of any unauthorized use. We reserve the right to suspend or terminate your account at our discretion.

3. License Grant & Use Restrictions

Subject to these Terms, Spott grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes.

  • You may not copy, modify, distribute, sell, or lease any part of the Platform.
  • You may not reverse engineer or attempt to extract the source code of any software component of the Platform.
  • You may not interfere with or disrupt the integrity or performance of the Platform.
  • You may not use the Platform to collect or harvest personal data of other Users.

4. User-Generated Content

You retain all ownership rights in the Content you post. By posting Content, you grant Spott a worldwide, royalty-free, sublicensable, transferable license to use, reproduce, distribute, display, and create derivative works of your Content in connection with the Platform’s operation, marketing, and promotional activities.

You are solely responsible for your Content and any consequences of posting or publishing it. Spott reserves the right to remove any Content that violates these Terms or is otherwise objectionable.

5. Event Creation & Liability

Spott provides tools to create and discover Events, but does not organize, oversee, or guarantee the safety, legality, quality, or success of any Event. All Events are organized by Users, not by Spott.

  • Organizer Responsibilities: Hosts must comply with all local laws, obtain any required permits, secure any necessary insurance, and follow all safety protocols.
  • No Platform Liability: Spott is not responsible for any injuries, damages, losses, disputes, cancellations, or legal issues arising from any Event.
  • Indemnification: You agree to defend, indemnify, and hold harmless Spott from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your organization of, participation in, or attendance at any Event.
  • Consent Logging: We may log your IP address, user ID, device information, and timestamp when you create, join, or interact with Events to help operate the Platform, investigate misuse, and document acceptance of these Terms.

6. Posting Windows & GPS-Gating

To promote authenticity, only verified Attendees may post to an Event story during the Exclusive Window. Posting may be limited to Users whose device location indicates they are within the applicable Event area or radius.

We may change, suspend, restrict, or remove GPS-based or Event-specific posting features at any time to protect users, enforce our rules, or improve the Platform.

7. Payments, Fees, Boosts, Sponsor Slots, Subscriptions & Refunds

Certain features of the Platform may require payment, including without limitation Boosts, Sponsor Slots, promotional placements, paid visibility tools, premium features, Subscriptions, or other digital services. By making a purchase, you authorize Spott and its third-party payment processors to charge your selected payment method for all applicable fees, taxes, and charges.

Boosts & Sponsor Slots

All purchases of Boosts and Sponsor Slots are final and non-refundable. Once purchased, no User will be entitled to a refund, credit, chargeback, partial refund, or reversal for a Boost or Sponsor Slot, whether or not the Boost or Sponsor Slot is fully used, delivers the User’s desired result, receives engagement, or is later paused, modified, reduced, removed, or affected by changes in traffic, visibility, timing, user activity, moderation decisions, technical issues outside our reasonable control, or Event performance.

You acknowledge that Boosts and Sponsor Slots are digital services and promotional placements that may begin processing, reserving inventory, allocating exposure, or otherwise being fulfilled shortly after purchase. For that reason, you agree that such purchases are irrevocable once completed.

Subscriptions

Certain features of the Platform, including the Business Marketplace, are offered on a subscription basis (“Subscription”). Subscriptions automatically renew at the end of each billing period (e.g., monthly) unless cancelled at least 24 hours before the end of the current billing period.

Your payment method will be charged for renewal within 24 hours prior to the end of the current period, at the same price unless you are notified of a price change in advance. Subscriptions are billed and managed through your Apple ID account settings. You can manage or cancel your Subscription at any time by going to Settings > [Your Name] > Subscriptions on your device.

No refund will be issued for the unused portion of any billing period if you cancel partway through, except where required by applicable law. Free trial periods, if offered, convert automatically to a paid Subscription at the end of the trial unless cancelled before the trial ends.

8. Privacy & Data Collection

Our Privacy Policy governs how we collect, use, store, and share your personal information. By using the Platform, you consent to that policy, including the collection of location data for mapping and GPS-Gating, analytics data for performance improvement, and cookies or similar technologies for session management and service improvement.

You may review our Privacy Policy at any time at /privacy.

9. Intellectual Property

All content and materials available on the Platform, excluding User-generated Content, including software, text, images, graphics, logos, trademarks, branding, and design, are the property of Spott or its licensors and are protected by applicable intellectual property laws.

You may access and use such materials solely for your personal, non-commercial use of the Platform. Any other use requires our prior written consent.

10. Third-Party Services & Links

The Platform may integrate with, rely on, or link to third-party services, including payment processors, map providers, analytics providers, ticketing providers, advertising services, and social media networks. We do not control and are not responsible for the availability, content, policies, or practices of third parties.

Your use of third-party services is at your own risk and may be subject to separate terms and privacy policies.

11. Community Guidelines

We strive to foster a respectful and safe community. By using the Platform, you agree that you will not:

  • Harass, abuse, threaten, or intimidate others.
  • Post unlawful, fraudulent, deceptive, or misleading content.
  • Post hateful, discriminatory, sexually explicit, or violent content in violation of our rules.
  • Impersonate any person or misrepresent your affiliation.
  • Attempt to manipulate attendance, engagement, rankings, or promotional systems.
  • Use GPS-Gating, Event tools, Boosts, Sponsor Slots, or Subscriptions dishonestly or abusively.

12. Termination & Suspension

We may suspend, restrict, limit, or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms, created risk for other users, exposed us to legal liability, misused paid promotional tools, or harmed the integrity of the Platform.

Suspension or termination of your account does not entitle you to any refund for prior purchases, including Boosts, Sponsor Slots, or Subscriptions, except where required by applicable law.

13. Disclaimers of Warranty

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SPOTT DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, ACCURACY, AND RELIABILITY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOTT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOTT’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE TOTAL AMOUNT YOU PAID TO SPOTT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless Spott, its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your Content, your Events, your use of the Platform, your purchases, or your violation of these Terms or applicable law.

16. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be governed by the laws applicable in your jurisdiction, without regard to conflict of law principles, except where mandatory law provides otherwise.

Before starting formal proceedings, you and Spott agree to first try to resolve the dispute informally by contacting the other party. If the dispute is not resolved within 30 days, then, to the extent permitted by law, the dispute will be resolved through binding arbitration or the appropriate courts of competent jurisdiction, and you waive any right to participate in a class action or representative proceeding to the fullest extent permitted by law.

17. Modifications to Terms

We may modify these Terms from time to time. If we make material changes, we may provide notice through the Platform, by email, or by other reasonable means. Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of the revised Terms.

18. Severability & Entire Agreement

If any provision of these Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy and any service-specific terms, rules, or policies we publish, constitute the entire agreement between you and Spott regarding the Platform.

20. Apple App Store Terms

If you downloaded the Platform from the Apple App Store, the following additional terms apply and take precedence over any conflicting terms in these Terms with respect to your use of the Platform on Apple-branded products:

  • This agreement is between you and Spott only, and not with Apple Inc. (“Apple”). Apple is not responsible for the Platform or its content.
  • Spott grants you a non-transferable license to use the Platform on any Apple-branded products that you own or control, as permitted by the App Store’s Usage Rules.
  • Spott, not Apple, is solely responsible for providing any maintenance and support services with respect to the Platform.
  • In the event of any failure of the Platform to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Platform to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Platform, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty will be Spott’s sole responsibility.
  • Spott, not Apple, is responsible for addressing any claims by you or any third party relating to the Platform, including but not limited to: (i) product liability claims; (ii) any claim that the Platform fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
  • In the event of any third-party claim that the Platform or your possession and use of the Platform infringes that third party’s intellectual property rights, Spott, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  • You must comply with applicable third-party terms of agreement when using the Platform (for example, your wireless data service agreement).
  • Apple and Apple’s subsidiaries are third-party beneficiaries of this agreement, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Appendix A: Glossary

  • GPS-Gating: Verification of physical presence at or near an Event using device location data.
  • Exclusive Window: The period during which posting to an Event story may be limited to Attendees.
  • Boost: A paid promotional feature that increases the visibility or reach of an Event or content.
  • Sponsor Slot: A paid sponsored placement or promotional inventory made available on the Platform.
  • Subscription: An auto-renewing, recurring paid plan offered through the Platform, including access to the Business Marketplace.

Appendix B: Changelog

June 30, 2026: Added Apple App Store minimum terms (Section 20) required for custom EULA submission. Added Subscription terms covering auto-renewal, billing cycle, and cancellation via Apple ID account settings for Business Marketplace features.

April 10, 2026: Updated payment terms to clarify that Boost and Sponsor Slot purchases are final and non-refundable except where required by applicable law.

Appendix C: Copyright Complaints

If you believe content on the Platform infringes your copyright, please send a notice to support@spott.app with sufficient detail for us to review the claim.
